1. Who we are

Prop Journal is operated by Sapo Invest ("Sapo Invest", "we", "us", "our"). By accessing or using Prop Journal (the "Service"), you ("you", "user") enter into a binding agreement with Sapo Invest.

2. Acceptance of terms

By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service. You confirm that you are of legal age in your jurisdiction and, if acting on behalf of an organization, that you have authority to bind it.

3. The Service

Prop Journal is a trading journal designed for prop firm traders. It enables logging of trades, tracking of challenges and funded accounts, payouts, strategies, and performance analytics. The Service is provided on an "as is" and "as available" basis and is not investment, financial, legal, or tax advice.

4. Account & credentials

You must provide accurate information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful, fraudulent, or abusive purpose;
• send spam or infringe any intellectual property or privacy rights;
• upload malware, probe, scan, or attempt to interfere with the security or integrity of the Service;
• scrape, reverse engineer, resell, or redistribute the Service or its data;
• circumvent technical limits, rate limits, or access controls.

6. Intellectual property

Sapo Invest retains all rights, title, and interest in and to the Service, including its software, documentation, branding, and content. You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with your selected plan. You retain ownership of content you submit and grant us a limited license to host, store, and process it solely to provide the Service.

7. Service level

We do not guarantee that the Service will be uninterrupted, error-free, or fully secure at all times. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payments, billing & subscriptions

Paid plans are billed in advance on a recurring basis (monthly or yearly) at the price displayed at checkout. For all matters relating to payment, billing, taxes, currency, invoicing, cancellations, and refunds, please refer to the Paddle Checkout Buyer Terms and our Refund Policy.

9. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Suspension & termination

We may suspend or terminate your access to the Service in the event of: material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may stop using the Service at any time. Upon termination, you may export your data within a reasonable window before it is deleted.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is not permitted by law.

12. Indemnity

You agree to indemnify and hold Sapo Invest harmless from any claim arising out of your content, your use of the Service in violation of these Terms, or your unlawful conduct.

13. Trading disclaimer

Prop Journal is a journaling tool. It does not provide financial, investment, or trading advice. Any analytics, AI summaries, or insights are for informational and educational purposes only. Trading carries risk and you are solely responsible for your trading decisions.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Sapo Invest is established, without regard to conflict-of-law principles. Disputes shall be brought before the competent courts of that jurisdiction.
